Despite Tropical Storm Arthur making south Louisiana a target on this otherwise lovely summer Wednesday, Restore Or Retreat was able to successfully conduct its 2026 Annual meeting of the Board of Directors and Voting Members to perform the annually required business of reinstating the board and confirming the Executive Committee that provides day-to-day guidance and governance.  Additionally, there was also an Amendment Set to the Bylaws that was also voted on for adoption.  But before getting further into the results of the board business (which is included below), allow me to show a few photos from the event.

 

So, in addition to hearing from a very coastally connected speaker (Mel Landry), the 2026 Annual Meeting for Restore or Retreat conducted three formal orders of business:

  1. Vote of the adoption of a set of proposed amendments to the Restore or Retreat Bylaws that were approved for adoption by the Executive Committee.
  2. Vote to accept the slate of 18 members of the Board of Directors consisting of 16 reinstated members and two new members.
  3. Vote to accept the recommendation of the 7 Board of Directors to serve as members of the Restore or Retreat Executive Committee

Ballot Item 1 — Adoption of Amendments to Bylaws

Over the past 2 years the Executive Director and the Executive Committee have been working (initially with the assistance of Berwick Duval) to make amendments to the Bylaws to both make technical corrections as well as make modifications to the Bylaws that would bring them in closer congruence with the operational evolution of the organization.  Some of the more substantive changes include: making the threshold to be a voting member from $100 to $500; and move more of the direct control of the operation of the organization from Board of the Directors with the Executive Committee acting as a proxy, to more explicit and direct control by the Executive Committee, still approved by the Board of Directors.  To better inform Board Members, the following three (3) files have been made available for review.
